Terms of Service

These Terms of Service ("Terms") govern your use of the Matzu Finance mobile application and related services (the "Service"), a product of Matzu LLC (Hawaii, formation in progress), operated on behalf of Kavon Wright ("Matzu," "we," "our," or "us"). By using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. In no case may the Service be used by anyone under 13. If you disclose that you are under 13, we will restrict the account and delete associated data.

2. Your account

You are responsible for the security of your account credentials and for everything that happens under your account. One account per person. Provide accurate information. Notify us at support@matzu.finance if you believe your account has been compromised.

3. Financial information is informational only

Matzu is a personal finance tracking and coaching tool. It is not a bank, a broker, a lender, a payment processor, or a licensed financial advisor. Nothing in the app constitutes investment advice, tax advice, legal advice, or a recommendation to buy or sell any security.

Balances, transactions, and category rollups shown in Matzu are drawn from data provided by Plaid or entered by you. They may lag your actual account state, and they may contain errors. Always consult your bank, your card issuer, or a qualified professional for financial decisions.

4. Plaid

If you connect a financial account through Plaid, you agree to Plaid's End User Privacy Policy and any Plaid terms surfaced during the connection flow. Matzu never receives your bank username or password. As required by CFPB §1033 and Plaid's terms, we will ask you to reauthorize financial data access at least every twelve months. You may revoke Plaid access at any time in the app.

5. AI coach

Matzu includes an AI coach powered by OpenAI. Before you first use the coach, we will ask you to consent to sending your message and a scoped summary of your recent financial activity to OpenAI through a server-side proxy. You can revoke that consent in Settings at any time; the core app works without the coach.

Coach output is generated by a language model and may be wrong, incomplete, or out of date. It is not professional financial, tax, legal, medical, or investment advice. Evaluate accuracy before acting on it.

You must not use the coach to attempt to jailbreak the model, generate content that violates OpenAI's usage policies, or extract data belonging to other users. We may suspend accounts that abuse the coach.

6. Household sharing

If you invite another person to share a household with you, you agree that the two of you may see the shared data you have each chosen to share. You must have permission from the other person before inviting them. You can revoke sharing at any time. Household sharing is opt-in and per-user.

7. Acceptable use

You agree not to:

  • Use the Service in violation of any law
  • Attempt to access data belonging to another user
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service
  • Interfere with the operation of the Service, other users' use, or our infrastructure
  • Upload malware or malicious data
  • Use the Service to launder money, commit fraud, or evade sanctions
  • Use the Service to generate CSAM or content that violates our AI providers' usage policies
  • Create fake accounts, scrape, or impersonate other users

Violations may result in warning, content removal, suspension, or permanent termination.

8. Your content

You retain ownership of the data you enter into the Service (manual transactions, categories, notes, coach messages). You grant Matzu a limited, non-exclusive, worldwide license to process that data solely to operate the Service for you, as described in the Privacy Policy.

9. Service changes and availability

The Service is currently in private alpha. Features may change, break, or be removed without notice. We do not guarantee uptime, and we do not guarantee that data you enter or import will survive. Back up anything you cannot afford to lose.

10. Suspension and termination

We may suspend or terminate your account if you violate these Terms or if we are legally required to. You may terminate your account at any time in the app. On termination, your data will be deleted per Section 7 of the Privacy Policy.

11. Third-party services

The Service depends on third-party providers including Apple, Google, Plaid, and OpenAI. Your use of those providers through the Service is also governed by their terms and policies. We are not responsible for third-party service failures beyond our reasonable control.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY DATA RETRIEVED FROM PLAID OR ANY COACH OUTPUT GENERATED BY OPENAI.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATZU AND ITS PRINCIPALS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100), OR (B) THE AMOUNTS YOU HAVE PAID TO MATZU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain damages, so parts of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold Matzu harmless from any claim arising out of your violation of these Terms, your violation of any law, or your infringement of any third-party right.

15. Governing law and venue

These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Honolulu, Hawaii, and you consent to personal jurisdiction there.

16. Changes to these Terms

We may update these Terms. When we do, we will update the "Last updated" date at the top and, for material changes, notify you in the app or by email at least 14 days before the change takes effect. Continued use of the Service after the update constitutes acceptance.

17. Apple App Store terms

If you obtained the Matzu Finance app from the Apple App Store, you acknowledge that these Terms are between you and Matzu, not Apple; that Apple has no obligation to provide support or warranty; that Matzu, not Apple, is responsible for addressing any claims relating to the app; and that Apple is a third-party beneficiary of these Terms and may enforce them against you.
